Payment Agreement

This Payment Agreement (the "Agreement") is entered into between FUNAI TECHNOLOGY PTE. LTD. (Singapore Registration No.: 202611889C, hereinafter referred to as "we", "us" or "our") and you (hereinafter referred to as "you" or "User"), governing all payments, transactions, subscriptions, and use of paid digital services (collectively, the "Paid Services") provided by us. By making any payment to use our Paid Services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, as well as our Terms of Service and Privacy Policy, which are incorporated herein by reference.
1. Scope of Application
This Agreement applies to all Users who purchase, subscribe to, or use our Paid Services, including but not limited to digital content, AI-related tools, application development services, and other paid technical solutions. Any payment made for the Paid Services shall be deemed as your acceptance of this Agreement.
2. Payment Processing
2.1 We engage authorized third-party payment service providers to process all payments securely. We do not store full payment card details, bank account numbers, or any other sensitive payment credentials on our servers, in compliance with the Payment Services Act 2019 (PS Act) and relevant regulations of the Monetary Authority of Singapore (MAS).
2.2 Payments are accepted in the currencies displayed on the checkout page. All fees, charges, taxes (if applicable), and other costs associated with the Paid Services will be clearly indicated before you confirm the payment, and you agree to pay all such amounts in full.
2.3 We reserve the right to verify the validity of your payment method, cancel or refuse any order, and suspend or terminate your access to the Paid Services if we suspect fraudulent transactions, unauthorized payments, or violations of this Agreement or our Terms of Service, in accordance with anti-money laundering (AML) and countering the financing of terrorism (CFT) requirements.
2.4 You shall ensure that the payment method you use is valid, legal, and under your legitimate control. You shall be solely responsible for any fees, penalties, or losses incurred due to invalid payment methods, insufficient funds, or unauthorized use of your payment account.
3. Payment Obligations
3.1 You agree to pay the full amount for the Paid Services you select at the time of purchase. No partial payment is allowed unless otherwise explicitly stated by us.
3.2 For subscription-based Paid Services, you agree to pay the periodic subscription fee (monthly, annually, or as otherwise specified) on the due date. The subscription will automatically renew for the same period unless you cancel the auto-renewal before the renewal date, in compliance with Singapore's consumer protection regulations.
3.3 If you fail to make the payment on time, we reserve the right to suspend your access to the Paid Services until the full payment is received. If the payment remains unpaid for more than 7 business days, we may terminate your access to the Paid Services without prior notice, and you shall be liable for any outstanding amounts.
4. Refund Policy
4.1 General Rule: Due to the intangible nature of digital services and content, all payments for the Paid Services are non-refundable once the Services have been activated, accessed, delivered, or downloaded. No refunds will be provided for change of mind, dissatisfaction with usage, or voluntary cancellation by you, consistent with industry practices for digital products in Singapore.
4.2 Eligible Refund Cases: Refunds may be considered and approved only in the following verified circumstances, in compliance with the Consumer Protection (Fair Trading) Act 2003:
- Severe technical failure on our platform that prevents you from accessing or using the purchased Paid Services, and such failure cannot be resolved within a reasonable period;
- Unauthorized or fraudulent transactions made without your consent, provided that you provide sufficient evidence to verify the unauthorized nature of the transaction;
- Duplicate payments caused by our system or the third-party payment service provider's error;
- The Paid Services are discontinued or permanently unavailable due to our reasons before you have a chance to access or use them;
- Other cases required by applicable laws and regulations of Singapore.
4.3 Refund Request Process:
- To submit a refund request, you must contact us at contact@funaistudio.com within 7 days of the payment date, providing your order number, payment receipt, registered email address, account details, and relevant supporting evidence (such as screenshots of technical failures, proof of unauthorized transactions).
- We will review your refund request within 5 business days (excluding Saturdays, Sundays, and public holidays) and notify you of the review result via email.
- If the refund is approved, the refund will be processed to your original payment method within 7–14 business days. The refund amount will be the full amount you paid, excluding any transaction fees incurred by the third-party payment service provider (unless the refund is caused by our fault).
4.4 No partial refunds will be provided for unused portions of subscription-based Paid Services, whether due to voluntary cancellation or suspension of access.
5. Subscription Management
5.1 You may cancel the auto-renewal of your subscription at any time through your account settings or by contacting us at contact@funaistudio.com. The cancellation will take effect at the end of the current billing period, and no refund will be provided for the remaining period of the current subscription.
5.2 We reserve the right to adjust the subscription fee, pricing, or billing cycle of the Paid Services by providing reasonable notice (at least 7 days) to you. If you do not agree to the adjusted terms, you may cancel the subscription before the adjustment takes effect; otherwise, continued use of the Paid Services after the adjustment will be deemed as your acceptance of the new pricing or terms.
6. Payment Disputes
6.1 If you have any disputes regarding payments (including but not limited to unauthorized transactions, duplicate payments, payment failures), you shall notify us immediately upon discovering the dispute and provide relevant evidence. We will cooperate with you and the third-party payment service provider to investigate the dispute.
6.2 You agree to cooperate with us in the investigation of payment disputes, including providing necessary information, documents, and evidence. We will notify you of the investigation result within a reasonable period.
6.3 If the dispute is caused by our fault, we will resolve the dispute (including processing refunds, correcting payment records) in accordance with Section 4 of this Agreement. If the dispute is caused by your own reasons (such as incorrect payment information, unauthorized use of your payment method), you shall bear all losses and liabilities.
7. Data Protection and Privacy
7.1 We will collect, use, store, and protect your payment-related information and personal data in accordance with our Privacy Policy and the Personal Data Protection Act 2012 (PDPA) of Singapore. We will not disclose your payment information or personal data to any third party except as required by law or with your explicit consent, or to authorized third-party payment service providers who assist us in processing payments (who are required to comply with PDPA and relevant data protection laws).
7.2 You acknowledge and agree that we may collect and use your payment-related information (such as payment amount, payment date, payment method) for the purpose of processing payments, resolving disputes, improving our services, and complying with legal and regulatory obligations.
8. Termination
8.1 This Agreement will remain in effect until you terminate your use of the Paid Services or we terminate this Agreement in accordance with the terms herein.
8.2 We may terminate this Agreement and your access to the Paid Services immediately without prior notice if you: (a) fail to make payment as required; (b) violate any terms of this Agreement, our Terms of Service, or Privacy Policy; (c) engage in fraudulent, illegal, or unauthorized activities related to payments or the Paid Services.
8.3 Upon termination of this Agreement, you shall cease all use of the Paid Services. Any outstanding payments owed by you to us shall be paid in full within 3 business days of termination. Sections 4 (Refund Policy), 6 (Payment Disputes), 7 (Data Protection and Privacy), 9 (Limitation of Liability), 10 (Governing Law), and 11 (General Provisions) shall survive the termination of this Agreement.
9. Limitation of Liability
9.1 To the fullest extent permitted by applicable law of Singapore, we shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to payments, transactions, or your use of the Paid Services, including but not limited to loss of profits, loss of data, or loss of access to the Services.
9.2 Our total aggregate liability for any claims arising from this Agreement shall not exceed the total amount you paid to us for the Paid Services in the past 12 months.
9.3 We shall not be liable for any delays or failures in payment processing caused by the third-party payment service provider, force majeure, or circumstances beyond our reasonable control (such as system failures, network outages, or regulatory changes).
10. Governing Law and Dispute Resolution
10.1 This Agreement is governed by and construed in accordance with the laws of Singapore.
10.2 Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its formation, validity, performance, or termination, shall be submitted to the exclusive jurisdiction of the courts of Singapore.
11. General Provisions
11.1 Amendments: We may update or modify this Agreement from time to time to reflect changes in our practices, legal requirements, or regulatory obligations. The revised Agreement will be posted on our website with the updated "Last Updated" date. Your continued use of the Paid Services after the revised Agreement is posted constitutes your acceptance of the revised terms.
11.2 Sevability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
11.3 Entire Agreement: This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and us regarding the Paid Services and payments, and supersedes all prior or contemporaneous agreements, understandings, or representations (whether written or oral) between you and us.
